Terms of Service

Effective 17 October 2026 · Acecode Technologies Limited · Privacy Policy

1. About these terms

These terms are the agreement between you and Acecode Technologies Limited (RC 7240384), a company registered in Nigeria, of 10 Joy Akpugo Close, Isheri Magodo, Lagos. Fitlify is a product of Acecode Technologies Limited ("Fitlify", "we", "us"). They cover the Fitlify mobile app, member web portal, gym dashboard, kiosk app and fitlify.co (together, "the service").

  • Section 3 applies to gym members using the app or portal.
  • Section 4 applies to gyms and studios that subscribe to Fitlify, and their staff.
  • Every other section applies to everyone.

By creating an account or using the service, you agree to these terms. If you use Fitlify for a gym, you agree on the gym's behalf and confirm you are allowed to. If you don't agree, don't use the service.

Our Privacy Policy explains how we handle personal data. It forms part of these terms.

2. Accounts and eligibility

  • You must be 18 or older to create your own account. A gym may register a member under 18 only with a parent's or guardian's consent.
  • Give accurate details and keep them up to date.
  • Keep your password and any check-in codes to yourself. One account is for one person.
  • You are responsible for what happens under your account. Tell us at support@fitlify.co straight away if you think someone else has used it.
  • Your Fitlify account is yours. You can use it with more than one gym, and each gym manages its own membership with you.

3. Terms for members

Your gym provides your membership

Fitlify provides the software. Your gym provides the gym. Your membership, its price, the gym's rules, freezes, cancellations and refunds are agreed between you and your gym, not with Fitlify. If something goes wrong with your membership, speak to your gym first; we will help where we can.

Payments

  • When you pay online, the payment is processed by Paystack and goes to your gym's own Paystack account. Paystack's terms apply to that payment.
  • Your gym is the seller. Refunds, chargebacks and payment disputes are handled by your gym.
  • The amount you pay is the price your gym sets. Fitlify does not hold your money.
  • Invoices and receipts in the app are issued for your gym.

Check-in and bookings

  • Check-in follows the rules your gym sets: for example, an expired plan or a plan for another branch is turned away. Your gym can always decide whether to let you in.
  • Don't share your account, QR code or check-in code with anyone.
  • Class and training bookings follow your gym's booking and cancellation policy.

Health and safety

  • Fitlify is not a medical service and does not give health or training advice.
  • Talk to a doctor before starting a new exercise programme, especially if you have a medical condition, injury or are pregnant.
  • Answer your gym's health questionnaire honestly and tell your gym if your health changes. Your answers go only to your gym.
  • Exercise carries a risk of injury. Your gym and its trainers are responsible for the training, equipment and premises.
  • Waivers and agreements you sign in the app are between you and your gym. Fitlify only stores them.

Messages

Receipts, booking confirmations and renewal reminders are part of the service. You can manage push notifications in your phone's settings. We will only send you marketing if you agree to it.

4. Terms for gyms

If your gym has signed a Fitlify Gym Services Agreement, that agreement and its data processing schedule take priority over this section where they differ.

Plans and billing

  • Plans, prices, limits and included features are shown at fitlify.co/pricing and in your dashboard. The price that applies is the one shown when you subscribe or renew.
  • Fees are billed in naira, monthly or annually, in advance. Prices shown exclude VAT, which is added at the applicable rate.
  • Plans are priced by active members: members with an active membership at any point in the billing period. Frozen, expired and cancelled memberships, leads and guests don't count. If you go over your plan's limits, we will ask you to move to the right plan.
  • Trials last as long as shown on the pricing page. Nothing is charged automatically when a trial ends; you choose a plan to continue.
  • Upgrades apply straight away. Downgrades and cancellations apply at the end of the period you've paid for. We don't refund part-periods unless the law requires it.
  • We will give you at least 30 days' notice of a price change before it applies to you.
  • If a payment is overdue, we will remind you, and may suspend access after 14 days' notice. Your data is not deleted while an account is suspended.

Online payments and the platform fee

  • Your members' online payments go through your own Paystack account and settle to your bank. You agree to Paystack's terms when you connect it. Fitlify is not a payment processor and does not hold your money.
  • On plans that include online payments, Fitlify charges the platform fee shown on the pricing page on each online payment, on top of Paystack's own fee. Cash, transfer and card-terminal payments you record carry no Fitlify fee.

Your responsibilities

  • Tell your members how you use their data, and have a lawful basis for collecting it, including consent for health questionnaires and parental consent for members under 18.
  • Keep member records accurate, and respond to members' data requests with our help.
  • Give staff only the access they need, and switch off staff who leave.
  • Set your own membership terms, prices and refund policy, and honour them.

Your data

Your gym's data belongs to your gym. We process member data on your behalf and only on your instructions, as set out in our data processing terms. You can export your data at any time. If you leave Fitlify, you have 30 days to export it, after which we delete it, except where the law requires us to keep it.

Features in development

Features marked "Coming soon" are not part of your plan until they are released. We may change or improve features over time, but we won't remove a core feature of your plan during a paid period without giving you notice and a fair remedy.

5. Acceptable use

When you use Fitlify, don't:

  • Break the law, or use the service to harass, threaten or defraud anyone.
  • Upload other people's personal data unless you have the right to.
  • Pretend to be someone else, or use another person's account, code or QR.
  • Try to get around check-in rules, plan limits or payments.
  • Copy, reverse-engineer, scrape or resell the service, except where the law allows.
  • Probe, test or break our security, or interfere with the service, without our written permission.
  • Upload malware or anything unlawful, offensive or that infringes someone's rights.

If you find a security problem, please tell us at support@fitlify.co rather than testing it further.

6. Content, ownership and licence

  • Ours. Fitlify, its software, design and brand belong to us or our licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use the app on devices you own or control, under these terms and the app store's rules.
  • Yours. Content you add stays yours: your photo and documents, or a gym's logo, plans and class descriptions. You give us permission to store, process and display it only as needed to run the service for you.
  • Feedback. If you send us ideas or suggestions, we may use them without owing you anything.

7. Third-party services and app stores

Fitlify relies on services run by other companies, such as Paystack for payments and Apple and Google for app distribution and notifications. Their own terms apply when you use them, and we are not responsible for how they run their services.

If you downloaded the app from Google Play

Google Play's terms of service also apply to your download and use of the app.

If you downloaded the app from Apple's App Store

  1. These terms are between you and Fitlify only, not Apple. Fitlify, not Apple, is solely responsible for the app and its content.
  2. Your licence to use the app is limited to Apple-branded products you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions.
  3. Apple has no obligation to provide any maintenance or support for the app.
  4. If the app fails to meet any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent the law allows, Apple has no other warranty obligation for the app. Any other claims, losses or costs from a failure to meet a warranty are Fitlify's responsibility, to the extent these terms don't exclude them.
  5. Fitlify, not Apple, is responsible for any claims by you or a third party about the app, including product liability claims, claims that the app fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  6. If a third party claims the app or your use of it infringes their intellectual property, Fitlify, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
  7. You confirm that you are not located in a country subject to a US Government embargo or designated as "terrorist supporting", and that you are not on any US Government list of prohibited or restricted parties.
  8. Questions, complaints or claims about the app go to Fitlify, using the contact details in section 10.
  9. You must comply with any third-party terms that apply when you use the app, such as your mobile network's terms.
  10. Apple and its subsidiaries are third-party beneficiaries of these terms. Once you accept them, Apple has the right to enforce them against you as a third-party beneficiary.

8. Suspension, termination and account deletion

  • You can leave at any time. Members can delete their account in the app (Account → Security → Delete account) or at fitlify.co/delete-account. Deletion is immediate, covers every gym, and cancels bookings, training sessions, memberships and packages. Invoices, receipts and signed agreements are kept, as the Privacy Policy explains. Gyms can cancel their subscription as set out in section 4.
  • Your gym can end your access to that gym, for example when your membership ends. This doesn't close your Fitlify account.
  • We can suspend or close an account if you seriously or repeatedly break these terms, if it puts other users or the service at risk, if a gym doesn't pay, or if the law requires it. Where it's reasonable, we will warn you first and give you time to put things right.
  • After an account closes, sections 6, 9 and 10, and anything about fees already owed, continue to apply.

9. Disclaimers, liability and indemnity

What we don't promise

We work hard to keep Fitlify running, accurate and secure, but we provide it "as is" and can't promise it will always be available or free of errors. We are not responsible for:

  • The gym services your gym provides, its premises, equipment, trainers or decisions, or any injury at the gym.
  • Outages or failures of services we don't control, such as Paystack, mobile networks, SMS delivery by carriers, or your device.
  • Losses caused by someone using your password or codes because you shared them or didn't keep them safe.

Limits on our liability

To the extent the law allows:

  • We are not liable for indirect or consequential losses, or for lost profits, revenue, data or goodwill.
  • Our total liability to a member for all claims is limited to ₦250,000.
  • Our total liability to a gym for all claims is limited to the fees the gym paid us in the 12 months before the claim.

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by our negligence, or for fraud. Nothing in these terms takes away your rights as a consumer under the Federal Competition and Consumer Protection Act 2018.

Indemnity from gyms

A gym will cover our reasonable losses and costs from third-party claims arising from the gym's breach of these terms or the law, its handling of its members' data, or content it adds to the service.

10. Law, disputes, changes and contact

Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. If you have a problem, contact us first; we will try to resolve it within 30 days. If we can't, it will be decided by a court of competent jurisdiction in Nigeria.

Changes to these terms

We may update these terms as Fitlify changes. We will post the new version here with a new effective date. For changes that matter, we will tell you in the app or by email at least 30 days before they apply. If you keep using Fitlify after that, the new terms apply; if you don't agree, you can stop using the service and delete your account.

General

  • These terms, the Privacy Policy and, for gyms, any signed Gym Services Agreement are the whole agreement between you and us about the service.
  • If part of these terms can't be enforced, the rest still applies.
  • If we don't enforce a right straight away, we haven't given it up.
  • You may not transfer your rights under these terms. We may transfer ours to a company that takes over the service, such as a new Fitlify company, and will tell you if we do.
  • We are not responsible for delays caused by events beyond our reasonable control.
